Terms of Service

The policies below are applicable to the OpsNow network of platforms, including the opsnow.io website, all email newsletters published or distributed by OpsNow, all apps published by OpsNow, and all other interactive features, services, and communications provided by OpsNow. (Collectively “OpsNow” or “we”, “us”, or “our”) (“Services”).

1. Acceptance of Terms: Use our Services to accept the practices described in these Terms of Service. If you disagree, refrain from using the Services.
2. Agreement: Understand this is a legal agreement between you (“you” or “user”) and OpsNow, governing your use of the Services.
3. Site Access License: Receive a limited, revocable, non-exclusive, non-transferable license to access and use the Services. Unauthorized use terminates granted permissions.
4. Copyright and Ownership: Recognize all content on the Services is owned by OpsNow or its licensors, protected by intellectual property laws.
5. Trademarks: Understand all trademarks of OpsNow used herein are trademarks or registered trademarks of OpsNow or its affiliates.
6. Account Registration and Security: Maintain the confidentiality of your account information and assume liability for all activities under your account.
7. User Submissions: Grant OpsNow a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right to use content you submit.
8. Advertising: Seek prior written consent for public announcements or advertising concerning the relationship between the parties.
9. Third Party Links: Acknowledge OpsNow is not responsible for the content or practices of third-party websites linked in the Services.
10. Inappropriate Material: Refrain from posting or transmitting any unlawful, threatening, defamatory, or obscene material.
    
11. Fees. In consideration for the savings provided to Customer and the Services performed by OpsNow under this Agreement, Customer will pay stated plan percentage of any Optimization that is adopted, integrated, implemented and/or placed in effect by Customer (the “Fees”). All Fees are automatically debited as part of Service. If fees are incurred outside of Service, Company will be only reimbursed if Customer approves in writing in form of Order Form or Statement of Work (SOW).  All incidental Fees are billed at the end of the month due and payable within thirty (30) days of the date of the invoice.
12. Credits and Refunds. Due to the nature of the service, refunds are not provided. In the event of extenuating circumstances, there may be instances when savings processing is not metered accurately due to service availability or similar situations. In such events, Customer may be eligible to automatically receive credit adjustments. Customer may manually request review for credit issuance at any time.
13. Limitations of Liability: Accept that OpsNow is not liable for damages arising from your use of the Services.
14. Indemnity: Agree to defend, indemnify, and hold OpsNow harmless from any liabilities related to your use of the Services.
    
15. Termination: Understand either party may suspend or terminate your use of the Services at any time.
16. Force Majeure: Acknowledge neither party is responsible for damages or delays beyond their control.
17. Privacy: Abide by OpsNow’s Privacy Policy, which forms part of this Agreement.
18. General: Agree that any claim relating to the Services is governed by specific governing laws.
19. Entire Agreement: Understand these terms constitute the entire agreement between the user and OpsNow.
